The way I read the announcement it is $35m paid in cash to Xanadu for the creation of the 50/50 JV in Khuiten Metals - ie They are buying half the Company from Xanadu and paying for it accordingly.
This may need clarifying with the Company, otherwise, yes you are correct it would be looking like a very average deal for shareholders.
