Other news. Big day for Syrah.

Prior to the VA, Triton raised capital to pay Grafex to raise their share to 90% equity.
Grafex (Sheffield et al.) realized that hey rather than having a 20% interest - that was going to be halved to 10% - and for some reason?, TON found themselves in a VA.
Grafex now happy with how everything turned out and under direct control of Triton.

The pre-quotation disclosure dated 2nd December 2016 related to the Prospectus 24th of October 2016, reveals the current scheme of arrangement.

Of interest:

As set out in the prospectus, Triton has earned an 80% interest in the graphite projects under the JV
Agreement (see page 81).
Separately from and in addition to earning an 80% interest in the graphite projects, the Company
acquired 80% of Grafex quotas from Gregory Sheffield pursuant to the Share Purchase Agreement.
Under the Shareholders Agreement between Triton, Sheffield, Claudio Manuel Loureiro de Nogueira and
Grafex dated 6 November 2013 (as amended) (Shareholders Agreement) Triton has (in addition to
control of the joint venture) control of the joint venture entity Grafex.

No impediments to conducting operations going forward. As the company reported at that time.
