    Even if Infineon offered to do it for free, having fee for service via a contract is a good way of providing adequate protections of the 4DS IP and obtaining the design / having future access to the IP that Infineon develops. Obviously that depends on the clauses but I'm sure there's plenty in there re: IP ownership.

    By contrast the HGST / WD agreement has no fees but is an IP sharing arrangement: whatever IP was co developed was shared, 4DS kept their own IP and HGST kept theirs.

    At this stage of the game wouldn't want to be stuffing around with IP sharing like the HGST agreement (which likely would have been the case without fees). These types of things would make future licencing or M&A complex.
