If the price tanked , mum and dad shareholders would have gotten their full allocation.
The underwriter gets the benefit of the price increase . This should not happen , as the business of underwriter should be to take "risk" at a price, however nowadays the "underwriters" take risk at a price however the risk is reduced by the combination of a lower "issue price" and options like this.
I do think it stinks, however modern company decisions are a hotbed of entitlement that the mum and dad shareholder has to carefully tread.
