You read it a bit different to me, I see the funds are being held by the registry and if the share price reaches the offer price they will be purchased on market, if not the company will issue the shares at the offer price and be paid for with the money held by the registry, nothing free about it. In fact someone trying to do the right thing(after an error by someone, who knows the reasons) and being criticised when he could have just bought on market today for much less
