Is this the Corporations Law of Nigeria you are talking about? or am I looking at a superseded Act, but it doesn't appear to be.

COMPANIES AND ALLIED MATTERS ACT CHAPTER 59 LAWS OF THE FEDERAL REPUBLIC OF NIGERIA 1990

Having browsed this Act, I can see that they still use a Memorandums of Articles & Association, where we changed to a Company Constitution about 20 years ago. But the general details appear to be similar.

I concentrated on Part IX, which deals with the directors.

Only difference I spotted is we can have a single director companies, in Nigeria they require a minimum of 2.

Think you need to be a bit more specific in your concerns on how KMC Nigeria is a potential threat to us.
