Maybe. How would you differentiate between a shareholder who has held 500,000 shares for 5 years compared to a shareholder who has held 100,000 for 15 years?
You can't really, that's why the above calculation of the SPP was fair.
Remember with SPP's the important number is the total number of shares APPLIED FOR as all qualifying shareholders will 'usually' be offered share 'parcels' ranging for $1,000 up to $20,000 or $30,000.
Assuming the $2mil limit is exceeded, scaleback of each holders application will have to occur (unless the company decides to expand the SPP) with the company returning excess funds back to holders.
You could have any number of 'qualifications' for 'scaleback' - the above was a relatively simple one and it worked although, as in all situations like this, there were complaints from some holders, particularly those who had recently sold heads.
