the point of all this is that an innovation alliance where complementary techs agree to cross promote/install isnt itself promising any revenues that woud justify a materiality related disclosure

agreements like that are a dime a dozen and frequently come to nothing. even when they result in something - thats usually not known as a near certainty when they are commenced
