In contract law, a contract can be voided or rescinded if the other party has committed negligent or fraudulent mispresentation.

Otherwise, the plaintiff may sue the directors if they believe the directors have breach the duty of care owed to them (torts law). But a class action is usually more practical for small investors due to cost.
