Nothing wrong with the company or the director.
the problem was that the market didnt understand what DTS and serverly undervalued it and made it an oppurtunity for takeover.
it was an oppurtunitistic move for Yum. They knew they spend 100m now, they would pay that off quickly and increase they value of DTS. 50000 stores using the tech they could pay off within a few years
