With all due respect, this is not true.

Insider trading prohibition does not apply on takeover.

- Can WD make a bid for 4DS tomorow = YES
(because of exemption for a person's own intentions exemption, see 1043 I To 1043 H of the Corporation Act))

Here are the Corporation Act provision :




- Can WD start pre-bid acquisition For 4DS : NO
(because if the bid is not declared, other shareholders could sell without having access to the same informations)
(Although WD could use many tools to make such an acquisition without being detected)






This is all common sens.

ASIC will not oppose a takeover as is is in the best interest of shareoleders.

There is no exemple where a takeover has been reppeled because of insider trading.
Even for pre - bid acquisition.

- ASIC did not oppose Mineral resources acquisition on market of a stake of 19% in Northwest Energy even that MIN was the operator in a joint venture between MIMN and NWE.

- The japanese regulator did not oppose the take over offer of WD for Toshiba Memory Corpin 2017 on the basis that WD had insider information because it was part of a joint venture toshiba memory corp.

- The japanese regulator do not oppose the takeover offer of WD for Kioxia Memory Corp in 2021 on the basis that WD had insider information because it was part of a joint venture.

So, if you want to buy a stake in 4DS capital, and you think you can wait for all data to be disclosed, you might be on for a brutal awakening.

The takeover can be declared tomorow.
It can ... but absolutely nothing said that it will.

WD never said anything about 4DS.
WD never talked about non-filamentary ReRam.

We know that WD is late in the game and that they still have to announce an NVM memory.
But nothing - absolutely nothing - said that this new memory will be 4DS technology.
