1. a2m continues to use SM1 factory with the China label registration - sm1 continues as a going concern and there is no insolvency crisis to manage
2. a2m pays less per share to recapitalise SM1 than Bright does
3. SM1 rescinds exclusively supply and enables a2m to leverage its own production facilities and obtain China regulatory approval for those facilities
4. SM1 commits to expanding a2m IF production
5. sm1 essentially becomes a private company- bright and a2m could delist it and buy out the remaining shares
