They are paying $62m (103.9m shares at $0.60/share) in order to acquire Pelorus's $50.6m of Net Assets.
So, you're right; can't see the value for BWF shareholders.
Additionally, with all the related parties hanging off this deal, I'm with you in your sentiment about "What's going on here?"
But it's moot because it looks like they might have got it outright.
