Finzsoft Solutions Limited (NZX: FIN) - substantial security holder notice
The Company advises that it has today received a substantial security holder
notice from Holliday Group Holdings (ICT Investments) Limited (Holliday
Group) attaching a lock-up agreement between (among others) Holliday Group
and ICT Investments (FS) Limited (ICT Investments).
Under the lock-up agreement, Holliday Group has agreed to make a full
takeover offer for all of the voting securities of the Company and ICT
Investments has agreed to accept Holliday Group's takeover offer in respect
of all of its ordinary shares in the Company once the offer has been made.
The Company has not yet received a formal Takeover Notice in respect of the
takeover offer. An announcement and further details of the takeover will be
made at the appropriate time.
The independent directors of the Company recommend that shareholders do not
sell their shares pending the release of this announcement.
