Ann: TASK agrees to scheme agreement with PAR Technology, page-17

Any idea why having 18% of script consideration is a condition precedent ?
Seems funny that this could crater the deal. On my reading if the bidders price falls below about USD35 - which if you look at the chart is possible by June / July - then the whole deal craters. Getting an additional 10% for taking script (assuming same share price as today would be better than cash in my opinion - can always sell straight away if you want to exit. PS - I think their announcement is wrong - it says $0.98 is current value of cash/ script mixed option - This appears to be typo as my calc have it at $0.89 (I have called the compeny - and they said others have also made this comment). Any comments ??
