Well, IF it gets over the line (needs 75% of the 89.5% of eligible voters) after the so called independent consultant has its say, we get the div + $5.23. IF it doesn't, we have to get rid of a board that supported the deal = more disruption.

No, you just need 75% of those shares who vote, not 75% of total shares listed voting in favour. I.e. if only 4 shares vote, you only need 3 to vote yes and it gets up.
