Some Chinese (based in Singapore) blogger suggested another possibility about Spinco - which is to sell spinco to MSR which was looking for a good mine to develop. He mentioned Mark is also a director at MSR (which I have yet to personally verify that information). If you are interested in the blog post - check the comments section (不毛山婚约细节———-AMs 合体 Tawana) - it's in Mandarin though.
