there may be something else to look at.. when the 249d was first discussed, I did some googling and came across a previous 249d that failed. The reason that I recall for failure was that one of the directors to be disposed was an executive director, the reason for failure being that a 249d could not dispose an executive director. (Late Friday and this was a few weeks ago so needs legal confirmation) ... if this was the case and Frazer assumes executive Chairman role on the 31-August ... and EGM is after this date ... he cannot be disposed at EGM.

Re Section 9 - definition of Director the section does not sub-type directors as illustrated in this PDF article.
