This is not the news we expected. But management must have their reasons for not proceeding.
They could have specified which conditions precedent were not satisfied. Usually, some conditions can be waived but looks like Dusk did not want to provide a waiver... maybe for good reasons.
If it relates to financial performance falling below prediction, then management may be justified in making this decision. Particularly if they could not come to an adjusted price.
I guess it means now Dusk might be seeing how they better spend their cash. That may include other acquisition targets or share buy back if that is attractive.
