I sent an email last week to Gino via the MTC's Enquiry Form asking whether they had considered selling MTC rather than just Sturec. My thinking is that there is no tax to be paid to Slovakia if it is a transfer of the company ownership as opposed to selling an asset. There will be CGT tax to be paid here, depending on the entry/exit prices for individuals.
My original thought was to spin out a new company to hold the lithium and any new assets and in-specie shares to MTC holders prior to an ipo. MTC could be sold for x amount per share, which then gets rid of the royalty part of any deal. It's a clean takeover with no further connection to Sturec.
I haven't heard back.
