Please correct me if I am wrong, but that SLC deal sounds one of desperation.
You basically hand over ~ $10m in the form of shares to Origin for 130k customers and a further $30m of shares provided Origin meet customer growth milestones which i assume that this means achieving 600k customers by 2026. Basically $66.67 per customer.
Then give them an option to buy 10% of the company within the next 12 months at a price that is convenient to Origin.
Well played Origin, you can see which company was the weaker at the negotiating table. To bring a halt to any prospect of a merger with ABB you embed Origin as a near 20% holder (provided milestones are met).
