Ann: Tesserent enters into Scheme Implementation Deed with Thales, page-179

I am still scratching my head about the company's Change of director's noticed that was announced just ~3 weeks before the Thales deal. Presumably, the chairman moved his shares, whilst having full knowledge of discussions with Thales (media reports say talks have been occurring for ~6 months). I'm presuming this move has some tax implications. Note we are talking about 91.7m shares, worth $11.9 million.
