you havent demonstrated any real joint efficiencies from an SD point of view.. there is no incentive in the offer.. as i said .. it would need to be at least double.. if not a considerable bit more to get them to (still) sell at a major loss. as aretail investor my point of view means crap all.. you only need to win over SD
