There are a bunch of legal/regulatory reasons someone might be disqualified from becoming a company director in Australia, and the rules vary from state-to-state (believe it or not, two states in Australia allow directors to remain directors even after they have died...), which would be what the due diligence and background checks were about.

No single shareholder has the right to veto a director duly elected by the majority of shareholders - unless they are a controlling shareholder, but then they'd appoint rather than elect directors.
