There is just NO way of getting around it.

The Company Secretary is relied upon by everyone to ensure that laws and regulations in relation to administration will be upheld at all times. No other person can be held accountable for that.

In particular we don't rely on the CEO because they may not have the knowledge and certainly do not have the opportunity. The Company Secretary is a Gatekeeper.

Company Secretaries must, at job application, evidence good standing among fellow professionals, Regulators, and the Law. And maintain it.

Failure to do so is career terminating.

Side discussion about the inadequacies of the CEO, with which I agree wholeheartedly, fails to grasp what a Company Secretary is relied upon to do, every day.
