Is that right? I thought the shares were purchased with a loan from the company (to PB), with the collateral for the loan being the shares - and if PB doesn't repay the loan then the shares can be seized by the company (but they can't go after anything else if the value of the shares doesn't cover the outstanding balance of the loan).

If I'm right, that would mean the shares belong to PB unless and until he defaults on the loan, so he can legally vote them how he pleases. I'm not saying I like it, or that it is a good arrangement for the company, but I think PB's on good legal footing.
