Silence, if there are conditions on the shares, then they have to be announced. So I would assume they are not escrowed in any way.
So the basic trick as a listed company CEO/CFO is try and place them to people you *think* will hold them long term, but you don't get much in the way of guarantees.
Of course funds that dump stock that gets placed to them develop a reputation too, so it can work against them.
