If Charara (Spark) isn’t part of it then it is hard to see how they could possibly have 50% of the voting shares claimed for the requisition. He has a big chunk of voting shares plus options that, once exercised, would carry quite a bit of weight (over 20% of SOI on a fully diluted basis). He also has the levers of office, as both a founder/director and now CEO too.
I guess an alternative is that most of the rest of the Top 20 including Masfen (Selene) plus some others who are below the threshold have ganged up en masse to get rid of the CEO (Charara) as a director plus one other, (perhaps the chairman?).
Hopefully the financial press are having a good dig around.
