To avoid a $40M break fee, (which WGX would pay, and effectively RMS pays if it successfully buys WGX) RMS has taken this action which has added $50M to WGX's market cap, and taken $180M off RMS market cap today.
$230M difference in valuations makes the $40M seem tiny!
