Q - just to be contrary... there could be bad news or a delay on the horizon hence a "rushed" CR while the SP is good
I would like to think that your synopsis is correct though
no incentive for the oppies holders to convert either, why should they, they are well in the money and dont need to convert in any hurry given the time frames
nought to do but sit back and wait for it all to unfold
