It's simple. The deal will look good if the share price goes up. But if it languishes at curent levels or continues to slide it is a stinker.
Dart shareholders have had to put up with a lot, having the SP smashed by shorters and then the New Hope misadventure. They deserve better than what this deal is looking like so far.
