The 10% Vocus accumulated before anything was announced was to block other bidders (i.e. TPG) jumping in.
Now that the scheme of arrangement is in play Vocus doesn't need 90%, only 75%.
As far as I understand the scheme it doesn't prevent TPG from bidding -- they can still offer a higher bid, it's just that Amcom can't go out looking for better bids.
I've held Amcom since 2002 and Vocus since listing in 2010. I also hold TPG.
IMO the proposed AMM + VOC is a great deal, keeping shareholders invested in similar business lines with strong growth opportunities. TPG would need to offer $800+m in cash to offset the opportunity lost to participate in future growth.
