The trading halt clearly  says ''pending the release of an announcement in relation
to the proposed BrainChip transaction.''


Transaction Details

Aziana has an exclusive option to acquire BrainChip by paying BrainChip a fully refundable option fee of $400,000.

Should it exercise the option, the company will pay the vendors 303,600,000 AZK shares as well as performance shares comprising:

- 49,500,000 A Class Performance Shares;
- 49,500,000 B Class Performance Shares;
- 49,500,000 C Class Performance Shares; and
- 49,500,000 D Class Performance Shares.

These convert into ordinary shares on a one for one basis if certain milestones are achieved within 5 years of settlement.

Aziana has also agreed, subject to the exercise of the option, to provide an unsecured loan to BrainChip of up to $250,000 for the purpose of expenditure on the development program in respect of its AI product.
