A couple of points from me.
Some are angry because private shareholders don't get to participate. The stock market is a very negative place at the moment. While many say they will participate, only a few actually do. The participating institutions then have to take up the difference.
Those who don't participate can buy online cheaper anyway (most times). Those who participate get to watch their newly acquired shares drop below the price they paid. Not good PR for the company. Hence, it is better to leave the mum & dad investors out of the CR, for their own good. A public offering takes up more time as well.
The other point is the discount. Money is very hard to come by at the moment. A larger than normal discount is the price you have to pay.
