Depends on the offer - best to do you own googling but typically the board approve it share holders vote 9/10 with the board because the board is usually controlled by the major holders and thus voters and then you get a check in the mail.
I think what's happening is surfstitch probably made a lowball offer for CW back where they were on the acquisition spree, obviously CW were offended egos have gotten involved, the content sharing deal went bad and CW are out for blood.
I don't think CW actually intend to buy SRF and I seriously doubt they would even have the the funds to do so. They are just capitalising on the situation and I'm not expecting a serious offer from them. Far more chance of somone other big online retailer coming in but again I think it's unlikely.
