They are essentially raising money for the business by issuing more shares and selling them to sophisticated investors (rather than the general public)
Positives: Company has more money
Negatives:
- Company issues more shares, therefore our shares are now worth less.
- Company issues these shares at a price less than market value
- Both of these lead to the stock price going down in value (short term), but hopefully up in value (long term) if they can get a high return on equity (ROE)
- More shares on issue, lead to a lower earning per share (eps) in the future
