CONTINGENT BUSINESSResolution 12: Holding a Spill Meeting (conditional item) Condition for Resolution 12Resolution 12 will be considered at the AGM only if at least 25% of the votes cast on Resolution 1 are against the adoption of the Remuneration Report. The Explanatory Statement further explain the circumstances in which Resolution 12 will be put to the meeting.If the condition (described above) is satisfied, to consider and, if thought fit, to pass the following resolution as anordinary resolution:“That, as required by the Corporations Acta) a meeting of the Company’s members be held within 90 days of the date of the 2019 Annual GeneralMeeting (the spill meeting);(b) Peter Carlisle (being the only remaining director who approved the last Directors' Report) cease to holdoffice immediately before the end of the spill meeting; and(c) resolutions to appoint persons to offices that will be vacated immediately before the end of the spill meetingbe put to the vote at the spill meeting.”
