Yes the number of shares on issue is important for Many Reason's....One Being, the possibility of Consolidation.....If they do a 1 for 10 Split to reduce the number of shares on issue for example, the Investor will lose 90% of their Stock....So it's Always worth considering the Capital Structure of a Company.
