"probably warrant a complaint to ASIC for misleading the market" – and a class legal action from all investors who bought or held in reliance on the company's statement that they would not be raising capital, and subsequently suffered a loss as a result of the capital raising.
The only possible way for the company to avoid this kind of action is if they can identify material information that was not available to the company and not reasonably foreseeable.
Therefore in my view this can only be related to a large order or a fabulously lucrative acquisition opportunity.
