Thorney Technologies Limited – ASX: TEK (“TEK” or the “Company” Transaction Funding The Company is conducting an equity raising of up to $35m (“the Offer” via the issuance of New Shares in Thorney Technologies Limited at $0.35 per share, comprising of: • A Two Tranche Placement via the issuance of Ordinary Shares in TEK to raise up to $25.0 million at $0.35 per share, • A Tranche 1 Placement to raise up to $13.0 million via the issuance of approximately 37.1 million shares at an Offer Price of $0.35 under the Company’s ASX L.R. 7.1. capacity; and • A Tranche 2 Placement to raise up to $12.0 million via the issuance of approximately 34.3 million shares at an Offer Price of $0.35 subject to shareholder approval at a General Meeting to be held in December 2020. • A 1-for-9 non-renounceable entitlement offer to raise approximately $10.0 million via the issuance of approximately 28.6 million shares at an Offer Price $0.35. Eligible shareholders who accept their full entitlement under the Entitlement Offer will be able to subscribe for additional New Shares, being the New Shares that were offered under the Entitlement Offer but which were not taken up (“Top Up Offer”.
