$12M x 1.2-1.3 = $14.4-$15.6M for Parton purchase price using the report as a guide.

At 20% GP = $2.4M x 2-3 = $4.8-7.2M purchase price using x2-3 GP for normal business sale.

Only $5M CR funds are required. The additional $2.5M via oversubscription will be for additional operating cashflow & to keep investors that want in happy.

The $5M will be part of the purchase price with the balance to be paid for by issuing additional new shares that I have not allowed for in above numbers. It will depend on the purchase price which we don't know yet. Could be as low as $5M or as high as $15-16M.
