Only way I see a serious issue one way or another is
- The sale or buy was inside set or special emabrgo dates or conditions - VERY VERY serious - could/should be a Sacking offence plus a large court fine. If deemed criminal it would be the director not the company on the hook
- If it is a genuine Brain Fart of the Director but outside of any embargo - serious but an internal slap on the wrist (court will see it as administrative)
- Administrative failure be it IT or any staff - will likely result in warning or small fine, could be large but only if it repeated failure
