One of the conditions under which continuous disclosure is qualified is where it concerns incomplete negotiations. The NDA itself is an essential prerequisite for any discussions and binds the parties accordingly. Given the trial approval would require some indication as to how it would be funded I'm comfortable that the discussions have been ongoing for some time and their progression does not depend on a formal announcement to market or risk information being exposed to a prospective party.
