Actually I did crunch some numbers, here they are for the benefit of all;

As you can see at a ratio of 1 for 3 VMY holders are getting only about a 5% higher offer than the failed bid last year when VMY rebuffed DYL. Anything above 3.17 and you are accepting a worse offer on a dollar per share basis. The numbers for the current deal are roughly the same if you average the preceding weeks closing prices for both stocks.
I sincerely doubt the offer will be accepted on the same or worse terms than the failed offer last November, but people are free to disagree with me and draw their own conclusions.
