More people looking to acquire the shares than there are shares available under the SPP. In that case you may be looking to buy $10k worth but only end up being allocated $5k worth as a basic example. In those circumstances you would need to buy the remaining $5k on the open market and the SP may have moved higher than the SPP offer price.
