    I don't see how a con note makes things much better.

    How will they pay it back? It is just a loan with interest that has an option to be converted into shares....

    So if the shares don't get above the strike price, plus interest profit with some margin, then it just remains a loan that the company needs to repay.

    So unless this is to get them into some meaning full profitable production I don't understand.
