Who knows what it may be - BTR may be doing a poison pill rights issue to fend off a takeover and has to announce it simultaneously.
KWR and BTR are similar sized companies, not sure BTR would be able to raise the cash to buy KWR outright, and it wouldn't change control of BTR.
