That's right, the signs have been there for awhile, it takes a lot of time to do thorough research, Corporate Governance is where a lot of problems lie. Its an area shareholders should take the time to educate themselves in, it's a critical area, especially disclosure rules (DYOR).
Case law is a good place to start, it shows you how the Judges formulate their decisions from the legal framework.
