I feel like the break fee should have been higher. 3.15mil out of a 40mil purchase price is not even an 8% deposit. Less when you take the costs involved for Sequoia (legal etc). Really they should have asked for a bit more. And if they were hesitant, it shows they don't know if they can complete the deal.
