It could be a variation on that that theme of a share buyback, and this is a way I think it possible:
instead of all the USD $10m coming from Quantum to BEZ, the parties both agree to vary that amount down (to say $3m) as a one-off. Quantum then use the balance USD $7m to directly off-market purchase Pangeas remaining shares.
They can price this as whatever the 2 parties like for mutual benefit…remember this has already happened twice before when Quantum acquired their initial parcel from Pangea at 17c when the SP was trading at ~5c, and then a second tranche at 11c
This won’t require any SH approval and BEZ have already stated that their current cash balance is more than sufficient for the early stage operations hence probably don’t require the full USD $10m right now.
And as Banker has pointed out previously, under Canadian corporate law there is no max ownership cap Quantum are bound by for BEZ…so why not move to ~43% ish ownership and remove the JB drag. The cost to them is exactly the same but the outcome is infinitely better.
